Cooper Tire & Rubber Co. v. Apollo (Mauritius) Holdings Pvt. Ltd., C.A. No. 8980-VCG (Del. Ch. Oct. 25, 2013).

This is one of several opinions in an expedited matter that has attracted wide-spread coverage in the popular press and the trade press.  It involved a merger agreement between Cooper Tire and Apollo and allegations that Apollo was not complying with the agreement to consummate the merger based on allegations that union strikes and other difficulties were impeding the deal.  There was an appeal to the Delaware Supreme Court which was ultimately unsuccessful.  Subsequently, the parties announced that the merger was being terminated and a separate action for damages is now pending.
