Schonfeld Group Holdings, LLC v. Trillium Holdings, LLC, C.A. No. 6759-VCL (Del. Ch. March 6, 2012).

Issue Addressed

Whether a prior release barred claims regarding a redemption agreement.

Short Answer

The claims arising out of events that occur on or before January 1, 2012 were barred by a prior release.

Short Overview

The Court largely applies New York law to the issue of whether claims regarding alleged fraud in connection with the execution of a redemption agreement were barred by the terms of a broad release in the redemption agreement.  Because New York law applies, this short opinion will not merit extensive treatment on this blog.  Suffice to say that at page 10 of this 11-page decision, the Court determined that there was no basis to claim that the release was fraudulently induced.
