Pileggi of Fox Rothschild LLP discusses recent Delaware court cases involving the merger between Atheros and Qualcomm, as well as the sealed letter between former HP CEO, Mark Hurd, and Jodie Fisher’s attorney, Gloria Allred. Also addressed, is the recent decision to deny shareholder access to books and records regarding the determination of the HP Board to allow Mark Hurd to resign and a Delaware decision to award all requested attorney fees in a settlement involving a challenge to the use of a top-up option to facilitate a two-step acquisition.
