New articles of interest to those who practice Delaware corporate and commercial litigation, as well as business litigators generally, are in the current issue of The Business Lawyer, a publicaion of the ABA’s Business Law Section. Though I just received it in the mail, the citation for the issue is August 2009, Volume 64, Number 4.
The two articles that discuss Delaware corporate decisions in particular are:
- Sabin Willet, Gheewalla and the Director’s Dilemma, (referring to the Delaware Supreme Court’s decision that addressed the duty of directors and the rights of creditors when a company is insolvent).
- Lyman Johnson and Dennis Garvis, Are Corporate Officers Advised About Fiduciary Duties?, (addressing the fiduciary duty of officers, an issue covered in the recent Delaware Supreme Court decision in Gantler v. Stephens).
