In The Wall Street Journal’s print edition today, an article here, examines the recent Delaware Chancery Court opinions in Lear and Topps (summarized here), as well as their impact on private-equity deals throughout the country. The authors of the article, Peter Lattman and Dana Cimilucca, in addition to being WSJ reporters, also write for The Wall Street Journal Law Blog and The Wall Street Journal Deal Journal, respectively. Here is a post that the WSJ Law Blog did today about the article in the print edition. Even apart from my unabashed exultation in connection with the small quote I have in the article, it is worth reading for an objective insight into the impact that the Chancery Court opinions have on what some refer to as mergia mania that the nation is experiencing.
