Delaware’s Antitakeover Statute

The ABA publication called The Business Lawyer arrived in the mail this week and the current issue is devoted in large part to a discussion of Section 203 of the Delaware General Corporation Law (the "Delaware Antitakeover Statute"), including its constitutionality and a review of the last twenty years or so of its existence. Multiple articles on the topic by various luminaries in the corporate law arena are available online here. Professor Davidoff’s post yesterday here highlights the relevance even today of the validity of Section 203.
