Delaware's Dominance in Corporate Law
Prof. Bainbridge has a post here that discusses why Delaware predominates in corporate law and why most major public companies are incorporated in Delaware. Among many reasons referred to in his post on the topic, is the internal affairs doctrine, and I am flattered to say the good professor links to a case summary on my blog for a summary of that concept.
